Terms of Use

These Terms of Use ("Terms") govern your access to and use of LandscapeIQ, operated by Arophia Technologies Inc. ("we," "our," or "us"), including our mobile application and website (collectively, the "Service"). By using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and operating a legitimate landscaping, hardscape, or related contracting business to use the Service. By creating an account, you confirm that you meet these requirements.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to store or transmit fraudulent, defamatory, or illegal content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send unsolicited communications or spam
• Resell or sublicense access to the Service without our written consent
• Upload content that infringes on third-party intellectual property rights

4. Subscription and Billing

LandscapeIQ offers a 30-day free trial with no credit card required. After the trial period, continued access requires a paid subscription. Subscription fees are billed in advance and are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice.

Payments are processed securely through Stripe. We do not store your payment card information.

5. Your Content

You retain ownership of all data, photos, quotes, invoices, and other content you create or upload through the Service ("Your Content"). By using the Service, you grant us a limited licence to store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content and represent that you have all necessary rights to upload and use it within the Service. You must not upload content that is illegal, harmful, or infringes on the rights of others.

6. Portfolio Photos

If you choose to publish photos to your public portfolio page, you represent that you have the right to publish those photos, including any necessary permissions from property owners or clients depicted. We are not responsible for content you choose to make publicly available.

7. Intellectual Property

All software, design, trademarks, and content comprising the Service (excluding Your Content) are owned by Arophia Technologies Inc. or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without our prior written consent.

8. Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible. We are not liable for any interruption or discontinuation of the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. Any pricing suggestions, material estimates, or profitability calculations provided by the Service are for informational purposes only and should not be relied upon as professional financial or business advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Arophia Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Arophia Technologies Inc. and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the app. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
